User / You: Any person or entity using the Services.
Customer: A user who creates an account or pays for a CodimAi plan.
Content: Any data, text, files, or messages submitted or generated via the Services.
End-user: Any individual interacting with you through CodimAi-powered channels.

2. Eligibility

You must be of legal age and have authority to enter into these Terms. By using the Services, you confirm that you meet these requirements.

3. Account Registration

You must provide accurate and complete information.
You are responsible for safeguarding your credentials.
You must notify us of any unauthorized access.

We may suspend or terminate accounts that violate these Terms or misuse the Services.

5. Customer Content & End-User Data

5.2 Our Role

CodimAi acts as a service provider / processor. You grant us a limited license to process your Content solely to provide the Services.

6. Plans, Fees & Payments

Some features require paid subscriptions.
Fees are billed in advance unless agreed otherwise.
All fees are exclusive of applicable taxes.
Payments are non-refundable unless explicitly stated.

7. Fair Use & Limits

We may apply fair-usage limits on messages, API calls, storage, or workflows. Excessive usage may result in rate limiting or plan upgrades.

8. Third-Party Services

Integrations are subject to third-party terms. We are not responsible for third-party service availability or behavior.

9. Intellectual Property

All rights to the Services belong to CodimAi. You receive a limited, revocable license for internal business use only.

10. Confidentiality

Both parties agree to protect confidential information except where disclosure is legally required.

11. Data Protection & Privacy

Use of the Services is governed by our Privacy Policy. A Data Processing Agreement (DPA) may apply where required.

12. Service Availability

Services are provided “as is” and may be modified or interrupted due to maintenance or updates.

13. Termination

We may suspend or terminate access for violations, legal requirements, or security risks.

14. Disclaimers

To the maximum extent permitted by law, the Services are provided without warranties of any kind.

15. Limitation of Liability

CodimAi shall not be liable for indirect or consequential damages. Total liability is limited to fees paid in the three months preceding the claim.

16. Indemnity

You agree to indemnify CodimAi against claims arising from misuse, violations, or unlawful data processing.

17. Changes to Terms

We may update these Terms. Continued use means acceptance.

18. Governing Law

These Terms are governed by the laws of India. Courts of Mumbai, Maharashtra shall have exclusive jurisdiction.
